Welcome to Upskili, an online learning platform designed to empower learners with cutting-edge skills and knowledge. These Terms and Conditions ("Terms") govern your use of our website, mobile applications, and services (collectively, the "Platform"). By accessing or using Upskili, you agree to be bound by these Terms.
Please read these Terms carefully before using our Platform. If you do not agree with any part of these Terms, you must not use our services. We reserve the right to update these Terms at any time, and your continued use of the Platform constitutes acceptance of any changes.
1. Acceptance of Terms

If you are using Upskili on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and your agreement to these Terms will be treated as the agreement of the organization.
2. User Accounts and Registration
To access certain features of Upskili, you must create an account by providing accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
You must be at least 13 years old to create an account. If you are under 18, you represent that you have your parent's or guardian's permission to use Upskili. We reserve the right to refuse service, terminate accounts, or cancel orders at our sole discretion.
3. Use of the Platform
Upskili grants you a limited, non-exclusive, non-transferable license to access and use our platform for your personal or educational purposes. You agree to use the platform only for lawful purposes and in accordance with these Terms.
You may not: (a) modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any content from the platform; (b) use the platform for any commercial purpose without our express written consent; (c) attempt to gain unauthorized access to any portion of the platform; or (d) use automated systems to access the platform without permission.
4. Content and Intellectual Property
All content on Upskili, including but not limited to text, graphics, logos, images, audio clips, video clips, data compilations, and software, is the property of Upskili or its content suppliers and is protected by copyright, trademark, and other intellectual property laws.
You retain ownership of any content you submit to the platform, but you grant Upskili a worldwide, royalty-free license to use, modify, and display such content for the purpose of providing our services. You represent that you have the right to grant this license for any content you submit.
5. Payment and Billing
Some features of Upskili may require payment. All fees are non-refundable unless otherwise stated. You agree to pay all charges incurred by your account. We reserve the right to change our pricing at any time, with notice provided through the platform or via email.
If you fail to pay any fees when due, we may suspend or terminate your access to paid features. You are responsible for all taxes associated with your use of the platform.
6. User Conduct and Prohibited Activities
You agree not to engage in any activity that interferes with or disrupts the platform or servers. Prohibited activities include but are not limited to: harassment of other users, posting inappropriate content, attempting to hack or compromise platform security, or using the platform for illegal activities.
We reserve the right to investigate and take appropriate action against users who violate these Terms, including warning, suspension, or termination of accounts.
7. Privacy and Data Protection
Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using Upskili, you consent to the collection and use of your information as described in our Privacy Policy.

8. Disclaimers and Limitation of Liability
Upskili is provided "as is" without warranties of any kind. We do not guarantee that the platform will be uninterrupted, error-free, or completely secure. To the fullest extent permitted by law, we disclaim all warranties, express or implied.
Our liability to you is limited to the amount you have paid us in the twelve months preceding any claim. We shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the platform.
9. Termination
Either party may terminate these Terms at any time. You may stop using the platform and delete your account at any time. We may suspend or terminate your account if you violate these Terms or for any other reason at our sole discretion.
Upon termination, your right to use the platform will cease immediately. Provisions that by their nature should survive termination will remain in effect after termination of these Terms.
10. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of Kenya. Any disputes arising from these Terms or your use of Upskili will be resolved through binding arbitration, except that either party may seek injunctive relief in court.
